PO box · registered office · retrieved 29 September 2026
Can a PO box be a registered agent? No — and a street-looking mailbox usually fails too.
The search query asks for a yes. The statutes ask for a person (or company) plus a street registered office where process can be served in person. A USPS PO box only receives mail. Most CMRA and virtual-mailbox products — even ones that print a street and suite — are still mail drops. Wyoming, Texas, and Colorado say so in plain language. This note is the deeper version of agent vs mailbox: what you can list, what happens if you try a PO box, and how to fix the record.
Four products people confuse
| Product | What it is | Registered office? |
|---|---|---|
| USPS PO Box | A box at a postal facility. Mail only. No person waiting for a process server. | No. Wyoming SOS FAQ: post office boxes do not qualify. |
| CMRA / private mailbox | A commercial mail-receiving agency — UPS Store, FedEx Office, and similar — with a street address plus a PMB / suite number. | Usually no. Wyoming names UPS and FedEx stores. Texas bars an office that is solely a mailbox service unless that enterprise is the agent (BOC §5.201). |
| Virtual mailbox / virtual address | Scan-and-forward (or forward-only) mail product, often backed by a CMRA street. Traveling Mailbox $15/mo / $25/mo / $55/mo; Anytime from $9.99/mo; Northwest forwarding from $20/mo; Bizee $29/mo. | No as a substitute for the agent. Vendors and Wyoming / Texas / Colorado say so. Distinction note. |
| Commercial registered agent street office | A person or RA company consenting to accept service at an in-state street office during business hours. | Yes, when it meets the state’s RA statute. That is the SKU on the 3-year cost note. |
What the states publish (retrieved 29 September 2026 CT)
Delaware’s Division of Corporations FAQ (re-checked 29 September 2026 CT) requires a physical street address in Delaware and presence during normal business hours for service of process — consistent with the street-not-mailbox pattern, even though the FAQ does not name “PO box” in the same sentence. Delaware note.
Florida §605.0113 requires a registered office and a registered agent whose business address is identical to that office (change fee $25 on our Sunbiz fee table). California Corp. Code §17701.13 requires an office and an agent for service of process in this state. Neither statute, on today’s retrieval, uses Wyoming’s explicit “PO box / UPS / FedEx” list — we do not invent one. Still: a USPS box is not a place where a process server personally serves an agent. Florida · California.
What happens if you try anyway
- Rejected filing. Online SOS forms that validate street vs PO Box (Colorado’s street field is the clear example) will bounce a box number before the entity is formed or the change lands.
- Accepted but non-qualifying. If a PO box or CMRA sneak through on paper, you still lack a place for personal service. That is the failure mode the RA statutes care about — default judgments and administrative headaches, not a missed scan.
- CMRA “street + PMB” tricks. Printing “123 Main St # 456” from a UPS Store does not create an employee of your LLC who accepts lawsuits. Wyoming lists UPS and FedEx by name. Texas’s “solely a mailbox service” clause is aimed at the same dodge.
How to fix a PO-box or mailbox registered office
- Pick a qualifying registered agent — yourself where the state allows and you have a qualifying street, or a commercial RA with an in-state office (Northwest $125/year; Bizee standalone $149/year; ZenBusiness standalone $99 then $199/year).
- File the state’s change of registered agent / registered office (Wyoming $5; Texas Form 401 $15; Colorado $10). Northwest publishes that it files the change and pays the required state fee when you appoint them. Change-of-agent note.
- Keep or cancel the mailbox on its own merits. A scan service is still useful for IRS and bank mail after the state record is clean.
When a mailbox is still worth buying
Founders buy PO boxes and virtual mailboxes for privacy and logistics — not for service of process. That is fine when the jobs stay separate:
- IRS Form SS-4: mailing lines 4a–4b can use a PO box; street lines 5a–5b cannot. LLC EIN note.
- Invoices and parcels: a CMRA or virtual address keeps a bedroom off customer letterhead.
- Cost reality: Bizee’s virtual address alone at $29/mo is $348/year — close to a full year of Northwest RA. Do not pay mailbox rent thinking it replaced the agent. Virtual address prices.
Questions
Can a PO box be a registered agent?
No. A registered agent is a person or company. The registered office is a street address where process can be served in person. A USPS PO box only receives mail. Wyoming’s SOS FAQ (retrieved 29 September 2026 CT) says a registered office may not be a post office box, drop box, virtual address, mail-forwarding location, UPS, or FedEx. Texas Bus. Orgs. Code §5.201(c) requires a street address for personal service and says the office may not be solely a mailbox service or telephone answering service. Colorado’s SOS says commercial or P.O. Box addresses cannot be used as the registered agent’s physical street address.
Can I use a PO box for my registered agent address?
Not as the registered office / street address the state lists for service of process. Some states (Colorado FAQ Q7) let a separate mailing-address field be a P.O. Box in the same state — that field is not the registered-agent street. Listing only a PO box as the registered office fails the street / personal-service test in Wyoming, Texas, and Colorado.
What about a UPS Store, FedEx Office, or other CMRA street address with a PMB number?
That is usually a commercial mail-receiving agency (CMRA), not a USPS PO box — but it is still a mail drop. Wyoming’s SOS FAQ names UPS and FedEx stores as addresses that do not qualify as a registered office. Texas bars an office that is solely a mailbox service unless that enterprise is itself the registered agent. A street-looking label does not create an agent who accepts service during business hours.
What happens if I already listed a PO box or virtual mailbox as my registered office?
The filing may be rejected, or you may sit on the public record without a qualifying office for personal service. Missed service of process is the hard failure mode — not a bounced Amazon package. Appoint a qualifying registered agent at a real street office and file your state’s change of agent (Wyoming $5; Texas Form 401 $15; Colorado Statement of Change $10 on our fee table). See our change-of-agent note.
Is a virtual mailbox the same problem as a PO box?
For registered-office purposes, usually yes. Traveling Mailbox’s help center (7 August 2026) says a virtual mailbox cannot serve as a registered-agent address. Anytime Mailbox says PO boxes and most virtual addresses do not qualify. Bizee states its $29/mo virtual address cannot be the registered agent. Wyoming groups virtual addresses and mail-forwarding locations with PO boxes. Budget a mailbox for scans; buy the agent separately.
When is a PO box or virtual mailbox still useful?
For mail that is not service of process: invoices, bank letters, and IRS correspondence. On Form SS-4, lines 4a–4b (mailing) can use a PO box; lines 5a–5b (street) cannot. That IRS split is separate from the state’s registered-agent rules. Keep a qualifying RA on the state record, then use a mailbox alongside it if you want privacy or scanning. See our LLC EIN and virtual-address notes.
How much is a real registered agent if I cannot use a PO box?
Northwest publishes $125/year ($375 over three years of vendor RA-only fees). Bizee standalone RA is $149/year ($447 / 3yr). ZenBusiness standalone is $99 year 1 then $199 ($497 / 3yr). Those are vendor RA fees from our briefing — not state filing fees, and not a substitute for reading your SOS page.
