Ohio · Secretary of State
Ohio calls it a statutory agent, and nothing yearly reminds you to update it.
Most formation ads sell one “registered agent” box for every state. Ohio’s version sits in ORC §1706.09: every Ohio LLC and registered foreign LLC keeps a statutory agent continuously, the agent is an Ohio resident or an entity with an Ohio business address, and the statute itself says a PO box does not count even when it comes with a street address. Ohio LLCs file no annual report, so the agent line only changes when someone files the $25 Form 521. If the agent resigns and nobody notices, the clock is thirty days from the Secretary of State’s notice to cancellation.

What ORC §1706.09 says
| Item | Published rule |
|---|---|
| Continuous statutory agent | §1706.09(A): each LLC, and each foreign LLC with an effective Ohio registration under §1706.511, shall maintain continuously in this state an agent for service of process. The SOS FAQ: all business entities must appoint and maintain a statutory agent (banks, trust companies, insurers, and public utilities are the listed exceptions). |
| Who may serve | §1706.09(A)(1)–(2): a natural person who is a resident of Ohio, or a corporation, nonprofit corporation, LLC, partnership, limited partnership, LLP, professional association, business trust, or similar entity with a business address in Ohio. A non-Ohio-corporation entity agent must meet Title XVII rules to transact business in Ohio. |
| Address on the appointment | §1706.09(C)(1): the agent’s name and Ohio address, including the street and number of an individual agent’s primary residence in Ohio, or an entity agent’s usual place of business in Ohio. The SOS keeps the record of LLC names and agent names and addresses, and its FAQ says the agent name and address are listed. |
| No PO box, even with a street address | §1706.09(C)(2): usual place of business means a place in Ohio customarily open during normal business hours where an individual authorized to accept service of process is generally present. It “does not include a post office box, regardless of whether that post office box has an associated street address.” SOS FAQ: street address in Ohio; CMRAs (private mailbox services) are not allowed. |
| Signed acceptance | §1706.09(B): the SOS will not accept original articles or a foreign registration unless a signed appointment and the agent’s signed acceptance accompany it; later appointments are filed the same way on the SOS form. SOS FAQ: no fee for the original appointment. |
| Agent dies, resigns, or moves | §1706.09(D): appoint another agent forthwith and file the appointment and acceptance. §1706.09(E): a new agent address is filed forthwith. §1706.09(F): an agent resigns by filing notice and mailing a copy to the principal office; authority ends thirty days after the filing. |
| Lapse and cancellation | §1706.09(L): on failure to maintain an agent or to file an agent name or address change, the SOS sends notice by ordinary or electronic mail. Unless cured within thirty days (or a longer period the SOS grants), the articles or foreign registration are canceled without further notice. Reinstatement is available within two years. |

Doing it yourself vs paying an agent
An Ohio-resident member can serve for $0. The trade is the one on our be your own agent and home address notes: §1706.09(C)(1) asks for the street and number of your primary residence, the SOS lists the agent name and address on the record (see is the agent address public?), and someone authorized has to be reachable there. If you move out of state, you file Form 521 to replace yourself.
| Option | 3 years | Note |
|---|---|---|
| Yourself (Ohio resident) | $0 | Your home street on the agent line; you must stay in Ohio. |
| Northwest | $375 | $125/year flat. Northwest says its Ohio registered office is in North Canton, that it completes the Statutory Agent Update for new clients, and pays the state change fee when appointed. |
| Bizee standalone RA | $447 | $149/year. |
| ZenBusiness standalone RA | $497 | $99 year one, then $199/year. |

- Pick the successor and get its signed acceptance (§1706.09(B)(2)).
- File Form 521 Statutory Agent Update, $25, online at Ohio Business Central. §1706.09(G) treats the new appointment plus a revocation statement as the way to drop the old agent.
- Then cancel the old vendor. Leaving first and filing later is how the thirty-day clocks start. Vendor walk-throughs: leave LegalZoom · leave ZenBusiness · leave Bizee.

What this page does not do
It does not cover Ohio corporations under §1701.07, does not walk through Ohio Business Central screens, and does not pick an agent for you. Ohio’s $25 change next to the other states we track: change of agent. Other statutory-agent states: Arizona (also no LLC annual report). Neighbors on this desk: Pennsylvania, Michigan, Illinois. Questions
Does an Ohio LLC need a registered agent?
Yes, though Ohio calls it a statutory agent. ORC §1706.09(A) says each limited liability company, and each foreign LLC with an effective Ohio registration, shall maintain continuously in this state an agent for service of process. The agent must be a natural person who is a resident of Ohio, or a corporation, LLC, partnership, or other listed entity with a business address in Ohio that meets Title XVII rules to do business here. The Secretary of State will not accept original articles or a foreign registration without a signed appointment and a signed acceptance from the agent (§1706.09(B)(1)).
Can I be my own statutory agent in Ohio?
Yes, if you are a natural person who lives in Ohio. §1706.09(C)(1) then puts the street and number of your primary residence in Ohio on the appointment, and the Ohio SOS FAQ says the agent name and address are listed on the business record. If you move out of Ohio, §1706.09(D) says the LLC must appoint another agent forthwith.
Can an Ohio statutory agent use a PO box or virtual mailbox?
No. §1706.09(C)(2) defines a usual place of business as a place in Ohio customarily open during normal business hours where an authorized individual is generally present to accept service, and says it does not include a post office box, regardless of whether that post office box has an associated street address. The Ohio SOS Business FAQ adds that the address must be an Ohio street address and that CMRAs (private mailbox services) are not allowed.
How much does it cost to change a statutory agent in Ohio?
$25. The Ohio SOS fee schedule lists Form 521 Statutory Agent Update at $25 for domestic and foreign LLCs, and ORC §111.16(R)(1) sets $25 for a change of agent, resignation of agent, or change of agent's address under §1706.09. It can be filed online at Ohio Business Central. The new agent signs the acceptance (§1706.09(B)(2)). The SOS FAQ says there is no fee for the original appointment made with the formation filing. Northwest says it completes the Ohio change form for new clients and pays the state fee when appointed.
Does an Ohio LLC file an annual report?
No. The Ohio SOS Business FAQ lists the entities with regular reporting requirements: professional associations and LLPs (biennial), nonprofit corporations (continued existence), and trade names and marks (renewals). LLCs are not on the list. That is why Form 521 matters: there is no yearly report that refreshes the agent line, so the agent record stays as filed until someone files an update.
What happens if an Ohio LLC has no statutory agent?
Under §1706.09(L), the Secretary of State emails or mails notice of the failure to maintain an agent (or to file an agent name or address change). Unless the default is cured within thirty days of that notice, or a longer period the SOS grants, the articles or foreign registration are canceled without further notice. A canceled LLC may reinstate within two years by filing the reinstatement application with an agent appointment and paying the §111.16(Q) fee; the SOS lists Form 525A Reinstatement & Appointment of Agent at $25. Separately, §1706.09(H)(2) lets a party serve the Secretary of State for $5 when the agent cannot be found or was not maintained, with the SOS forwarding by certified mail to the principal office on record.
