Michigan · LARA Corporations Division

Michigan charges $5 to change your resident agent, and mails the annual statement to that agent.

Michigan calls its registered agent a resident agent. Changing one costs $5 on Form CSCL/CD-520, and the yearly upkeep is a $25 annual statement due February 15, one of the cheapest state bills on this desk. The reason the agent line matters anyway is where LARA sends its mail. The pre-printed annual statement and LARA’s official notices go to the resident agent at the registered office on record. If that is a formation company you stopped paying, the form lands there. Miss two years in a row, ignore the notice for 60 days, and the LLC is not in good standing: it still exists, but its name is open to anyone else who wants it.

Doing it yourself vs paying an agent

A Michigan-resident member or manager can serve for $0, at home or at a business office. The trade is the one on our be your own agent and home address notes: LARA records the agent and registered office on the public record (see is the agent address public?), and the annual statement and any notices come to you. If you leave Michigan, you stop qualifying and need to file CSCL/CD-520. The LLC itself can never be its own agent.

Northwest$375$125/year flat. Northwest says it files the change of agent for new clients and pays the state filing fee when appointed, which in Michigan is the $5 CSCL/CD-520.
Bizee standalone RA$447$149/year.
ZenBusiness standalone RA$497$99 year one, then $199/year.
Northwest $125/year from its registered-agent page (re-read 12 October 2026 CT). We did not check a Michigan office location for any vendor, so we do not state one. Bizee and ZenBusiness standalone RA from lib/prices (briefing retrieved 30 August 2026, see 3-year cost). Vendor prices do not change at the Michigan line. The $25 annual statement ($15 after September 30, 2027) is owed on top no matter who the agent is.

Switching resident agents in Michigan

  1. Pick a successor that qualifies under MCL 450.4207: a Michigan resident whose business office or home is the registered office, or a Michigan or authorized foreign corporation or LLC with an office there. Not a PO box, and not the LLC itself.
  2. Get the change authorized under your operating agreement, or by a member or manager majority, then file CSCL/CD-520 ($5) in the MiBusiness Registry Portal. If the annual statement is open (October 15 to February 15) you can make the change on the statement instead.
  3. Then cancel the old vendor. If the old agent resigns first, its appointment ends after 30 days, and MCL 450.4208 tells the LLC to appoint a successor promptly. Add a resident agent email so LARA’s 90-day reminders reach you. Vendor walk-throughs: leave LegalZoom · leave ZenBusiness · leave Bizee.

If you already lapsed, start with no registered agent? and the restoration line above.

What this page does not do

It does not cover Michigan corporations (which file annual reports due May 15 with their own late fees) or professional LLCs (which file a combined annual report and statement), does not walk through MiBusiness Registry Portal screens, and does not pick an agent for you. Michigan’s $5 change next to the other states we track: change of agent. Other $5 change states on this desk: North Carolina, Pennsylvania, Arizona. Neighbors: Ohio, Illinois. Questions

Is a Michigan resident agent the same as a registered agent?

Yes. Michigan law and LARA's Corporations Division use the term resident agent for what most states call a registered agent. The address where that agent can be found is the registered office. MCL 450.4207(2) says the resident agent is the LLC's agent for any process, notice, or demand required or permitted by law to be served on the company. Formation vendors usually sell the same product in Michigan under the registered agent label.

Does a Michigan LLC need a resident agent?

Yes. MCL 450.4207(1) says each domestic LLC and each foreign LLC authorized to transact business in Michigan shall have and continuously maintain in the state both a registered office and a resident agent. The registered office may, but need not, be the same as the place of business. The articles of organization (CSCL/CD-700) name the first agent and office, and every annual statement repeats them.

Who can be a resident agent in Michigan?

Under MCL 450.4207(1)(b), either an individual who lives in Michigan and whose business office or residence is the registered office, or a company with a business office at the registered office: a Michigan corporation, a foreign corporation authorized in Michigan, a Michigan LLC, or a foreign LLC authorized in Michigan. LARA's annual-filing page adds two plain-English rules: the resident agent address must be in Michigan, and a business cannot serve as its own resident agent. If you do not have a Michigan address, LARA says you may hire a service company or law firm.

Can I be my own resident agent in Michigan?

Yes, if you live in Michigan and the registered office is your business office or your home. The LLC itself cannot be its own agent, but a member or manager can. The trade: LARA records the agent's name and registered office on the public record, the annual statement form and other LARA mail come to that address, and process servers can show up there. Out-of-state owners need a Michigan resident or an authorized company.

Can a Michigan registered office be a PO box or virtual mailbox?

Not a PO box. The instructions on Form CSCL/CD-520 say a post office box may not be designated as the address of the registered office, and LARA describes the registered office as the physical location of the resident agent. The form lets you add a separate mailing address, which can be a PO box. A virtual mailbox at a street address is still not the agent: MCL 450.4207 requires the agent's business office or residence to be the registered office, and a mail-scanning service is the agent only if it is actually appointed and qualifies.

How much does it cost to change a resident agent in Michigan?

$5. MCL 450.5101(1)(i) sets the fee for a statement of change of registered office or resident agent, and LARA's form is CSCL/CD-520, Certificate of Change of Registered Office and/or Change of Resident Agent, filed online through the MiBusiness Registry Portal or on paper. MCL 450.4209 requires the filing to state that the change was authorized by the operating agreement or by a majority of members or managers. You can also update the agent and office on the annual statement itself. Northwest says it files the change for new clients and pays the state filing fee when it is appointed.

When is the Michigan LLC annual statement due, and what does it cost?

February 15 every year, under MCL 450.4207(3). An LLC formed or authorized after September 30 skips the February 15 right after formation. The fee is $25 through September 30, 2027 and $15 after that, under MCL 450.5101(1)(g). LARA mails the annual statement to the resident agent at the registered office and opens online filing on October 15. For an ordinary LLC, neither the statute's fee list nor LARA's annual-filing page lists a late fee; the $50 late penalty LARA lists is for professional LLCs. The cost of falling behind shows up later, in restoration.

What happens if a Michigan LLC stops filing annual statements?

It is not dissolved, but it can lose its good standing and its name. Under MCL 450.4207a, after two consecutive missed annual statements LARA notifies the LLC. If the missing statements and fees are not filed within 60 days of that notice, the LLC is not in good standing: it cannot get a certificate of good standing, its name becomes available to other entities, and LARA will not accept any filing from it except a certificate of restoration. The LLC remains in existence and may keep doing business. Restoration (CSCL/CD-770/771) costs $50 plus $25 for each missed statement, so two missed years run about $100, plus the current year if you file on or after February 15.

What happens if a Michigan resident agent resigns?

The agent files CSCL/CD-521, Resignation of Resident Agent ($5 for an LLC; corporations pay no fee), and gives written notice to a member or manager. Under MCL 450.4208 the appointment ends 30 days after the notice is filed or when a successor is appointed, whichever comes first, and the LLC must promptly appoint a successor with CSCL/CD-520. If there is no agent, or the agent cannot be found, MCL 450.4207(4) lets a plaintiff serve the LLC by delivering or mailing the summons and complaint to LARA by registered mail.
