Illinois wants a street-address agent year-round — and a separate $25 change filing.

Formation funnels sell an Illinois “business address” as if any mailbox will do and treat agent switches as free paperwork. The Limited Liability Company Act is clearer: continuously maintain a registered agent and registered office in this State, put a street (or rural-route) address on file, pay $25 to change the agent or office, and still file the $75 annual report in the anniversary-month window.

Questions

Does an Illinois LLC need a registered agent in Illinois?

Yes. 805 ILCS 180/1-35(a) says each limited liability company and foreign limited liability company shall continuously maintain in this State a registered agent and registered office. The agent must be an individual resident of this State or another person authorized to transact business in this State.

Can the Illinois registered office be a P.O. Box alone?

The Act’s definition of registered office (§1-5) requires an address including street, number, city, and county on file with the Secretary of State. Section 1-36 change statements likewise call for street and number, or rural route number. A P.O. Box alone does not supply that street/number (or rural-route) field.

How much is an Illinois change of registered agent?

805 ILCS 180/50-10(b)(15) charges $25 for filing a statement of change of address of registered office or change of registered agent, or both. That is a separate filing from the annual report under §50-1.

What is the Illinois LLC annual report fee and due window?

§50-10(b)(11) sets the annual-report fee at $75 for a standard LLC (plus $50 per series certificate of designation when a series LLC applies). §50-1(b) says the report and fees must be delivered within the 60 days immediately preceding the first day of the anniversary month.
