Arizona calls it a statutory agent — and skips the LLC annual report.
Formation ads sell a “registered agent” and an annual-report calendar as if every state rhymes. Arizona’s Limited Liability Company Act is plainer: designate and maintain a statutory agent in this state, put street and mailing addresses on the articles, pay $5 to change the agent or principal address, and — unlike most of this desk’s other states — file no Corporation Commission annual report for an LLC. Does an Arizona LLC need a registered agent?
Arizona’s statute uses the term statutory agent. A.R.S. §29-3115(A) requires every limited liability company and every registered foreign limited liability company to designate and maintain a statutory agent in this state. The agent must have a place of business or residence in Arizona and must be an Arizona resident individual or an entity authorized to transact business here (§29-3115(B)). Appointment is not effective until the agent accepts in a record (§29-3115(A)).
Can an Arizona statutory agent use a P.O. Box alone?
A.R.S. §29-3201(B)(3) requires the articles of organization to state the name and street and mailing addresses in this state of the company’s statutory agent. A P.O. Box alone does not supply the required street-address field. The Corporation Commission’s Business Services FAQ likewise describes a statutory agent as someone with a physical address in Arizona.
How much is an Arizona change of statutory agent?
The ACC LLC fee schedule (Rev. 3.2026) lists LLC Statement of Change of Principal Address or Statutory Agent at $5 regular processing ($40 expedited). Form L020 implements A.R.S. §29-3116. When appointing a new agent, Form M002 (Statutory Agent Acceptance) must accompany the change; appointment is not effective without the successor’s signed acceptance (§29-3116(C)).
Does an Arizona LLC file an annual report?
No. The Arizona Corporation Commission’s Business Services FAQ states that LLCs are not required to file annual reports — only corporations are. There is no recurring ACC report fee or anniversary-month clock for an Arizona LLC. What can end the company is losing a statutory agent or principal address for sixty consecutive days, or failing to notify the Commission within sixty days of a change (A.R.S. §29-3708(A)).
