Georgia wants a street-address agent — and every LLC on the same April 1 clock.
Formation funnels treat “Georgia registered agent” like a free checkbox and bury the calendar. The Limited Liability Company Act is clearer: continuously maintain a registered office and agent in this state, put a street address and county on the change filing, and file an annual registration by April 1 for every LLC on the same window — not your anniversary month. Mid-cycle agent swaps take an amended annual registration, not a silent portal tweak.

Questions
Does a Georgia LLC need a registered agent in Georgia?
Yes. O.C.G.A. §14-11-209(a) says each limited liability company shall continuously maintain in this state a registered office and a registered agent for service of process. The agent’s business-office address must match the registered office. The agent must be an individual resident of this state, or a corporation, LLC, or foreign corporation/LLC with a Georgia certificate of authority (§14-11-209(b)).
Can the Georgia registered office be a P.O. Box alone?
§14-11-209(c) change filings require the street address and county of the registered office. The Georgia Secretary of State’s annual-registration how-to (retrieved 4 September 2026) says the registered agent’s address must be a physical street address in Georgia where an individual can be located in-person for the company. A P.O. Box alone does not meet that published requirement.
When is the Georgia LLC annual registration due?
Between January 1 and April 1 each year it is due — the same calendar window for every LLC, not your formation anniversary. Rule 590-7-22-.03 and the SOS how-to say so. You may prepay up to three calendar years. A newly formed domestic LLC files its first annual registration between January 1 and April 1 of the year after formation (Rule 590-7-22-.02).
How much is a Georgia change of registered agent?
Outside the annual-registration filing, you file an amended annual registration. The SOS fee table on the annual-registration how-to (retrieved 4 September 2026) lists Amended Annual Registration at $30 online or paper. That is separate from the $60 annual registration and from the $25 late-filing penalty.
