Indiana · Secretary of State, Business Services Division (INBiz)
Indiana charges nothing to change your registered agent. The expensive part is missing the email that says you need to.
The state fee for a statement of change is $0, and so is the fee for an agent to resign. Upkeep is light too: a $32 Business Entity Report every other year on INBiz. What catches Indiana owners is the reminder trail. The state emails the business and the registered agent before the report is due, and if the agent on file has quit or the email is stale, the next thing you get may be a dissolution postcard. Reinstating takes a tax clearance that INBiz says runs 4 to 6 weeks, while your name is only held for 120 days.

Doing it yourself vs paying an agent
You or another member can serve for $0 if you have an Indiana street address. The trade is the one on our be your own agent and home address notes: your name and street address go on the public record (see is the agent address public?), and process servers come to that address. Indiana’s state upkeep is among the lightest on this desk: $32 every two years, so roughly $16 a year, which means the vendor bill below is most of what an agent costs you here.
| Option | 3 years | Note |
|---|---|---|
| Yourself (Indiana street address) | $0 | Your street address on the record; you receive service; the state emails go to you. |
| Northwest | $375 | $125/year flat. Northwest says it files the change of agent for new clients when appointed. Indiana charges no state fee for it. |
| Bizee standalone RA | $447 | $149/year. |
| ZenBusiness standalone RA | $497 | $99 year one, then $199/year. |

- Pick a successor that fits IC 23-0.5-4-3: an individual, partnership, or entity formed or registered in Indiana, at an Indiana street address. Get its consent, because the filing has to say you have it.
- File the statement of change on INBiz or State Form 56367 ($0 state fee). If your Business Entity Report window is open (the state can accept it up to 90 days before the due month), you can put the new agent on the report instead.
- While you are there, update the business email and principal office. Those are where the reminders and certified-mail service go. Then cancel the old vendor. Vendor walk-throughs: leave LegalZoom · leave ZenBusiness · leave Bizee.
If you already lapsed, start with no registered agent? and the reinstatement line above. Request the tax clearance first, since it is the slow step.
What this page does not do
It does not cover Indiana corporations, nonprofits, professional entities, or state and county taxes, does not walk through the INBiz screens, and does not pick an agent for you. Questions
Does an Indiana LLC need a registered agent?
Yes. IC 23-0.5-4-1 says every domestic filing entity (which includes an LLC) and every registered foreign entity shall designate and maintain a registered agent in Indiana. The articles of organization name the first one, and every Business Entity Report repeats it.
Who can be a registered agent in Indiana?
IC 23-0.5-4-3(a) allows an individual, a general partnership, a domestic filing entity, or a registered foreign entity. The address has to be an Indiana street address (IC 23-0.5-4-2). The Secretary of State's INBiz page adds that a business cannot serve as its own registered agent, so a member or manager can serve personally but the LLC cannot name itself. If you use a commercial registered agent (one listed with the state), the filing gives only the agent's name, because its address is already on file.
Can an Indiana registered agent use a PO box or virtual mailbox?
Not a PO box. The statute requires a street address in Indiana, and State Form 56367 says a PO box is not acceptable unless accompanied by a rural route number. A mailbox service at a street address only works if the person or company there is actually named as your agent and accepts service, which is a different product from mail forwarding.
How much does it cost to change a registered agent in Indiana?
Nothing in state fees. IC 23-0.5-9-32 says there is no fee for filing a registered agent or office statement of change, and State Form 56367 is marked NO FILING FEE. You can file it on INBiz or on paper. INBiz says a card processing fee (minimum $1, no more than 2.15%) is added at checkout. The filing has to state that the new agent consented. If your Business Entity Report is due anyway, new agent information on the report counts as the statement of change (IC 23-0.5-2-13(e)). Northwest says it files the change for new clients when it is appointed; in Indiana there is no state fee for it to pay.
When is the Indiana Business Entity Report due, and what does it cost?
Every other year. INBiz says the first report is due two years after the LLC is formed, in the month and day it was formed, and you have until the end of that month before it is past due. It costs $32 on INBiz or $50 on paper for a for-profit entity. The state emails reminders 90 and 30 days before the due date to the business email and the registered agent email on file, so a stale agent can mean you never see them.
What happens if my Indiana registered agent resigns?
The agent files a statement of resignation (no fee, IC 23-0.5-9-33) and must promptly notify you. It takes effect on the earlier of the 31st day after filing or the day you designate a new agent (IC 23-0.5-4-9(b)). After that you have no agent, and IC 23-0.5-6-1 makes 60 consecutive days without one a ground for administrative dissolution. Meanwhile a plaintiff can serve the LLC by certified mail at the principal office on your last Business Entity Report, effective five days after mailing (IC 23-0.5-4-10(b)).
What happens if an Indiana LLC misses its Business Entity Report?
If the report is more than 60 days late, the Secretary of State can start an administrative dissolution, and after notice you have 60 more days to cure (IC 23-0.5-6-1 and 6-2). To reinstate, you get a Department of Revenue tax clearance first (INBiz says 4 to 6 weeks), then pay the $30 reinstatement fee plus every report you owe. Your name is only protected for 120 days after dissolution (IC 23-0.5-3-1), so the tax-clearance wait eats most of that window.
