New Jersey wants a street-address agent — plus a $75 anniversary-month report.

Formation funnels sell a “New Jersey business address” as if any mailbox will do and treat agent switches as free paperwork. The Revised Uniform Limited Liability Company Act is clearer: continuously maintain an office and an agent for service of process in this State, put street and mailing addresses on the certificate and on any change statement, pay $25 to change the office or agent, and still file the $75 annual report by the last day of your formation month.

How to change§15(a): file a statement of change naming the company, current office street/mailing addresses, new office addresses if changing, current agent name and street/mailing addresses, and the new agent information if changing. Effective when filed by the filing office (§15(e) in the enacted chapter).
Missing agent → filing office§17(b): if the company does not appoint or maintain an agent, or the agent cannot with reasonable diligence be found at the agent’s street address, the filing office is an agent upon whom process may be served. DORES lists a separate Service of Process fee of $75 on the LLC schedule.
Agent resignation§16: the agent files a resignation statement; the appointment ends on the earlier of an effective replacement filing or the 31st day after the resignation is filed.

Questions

Does a New Jersey LLC need a registered agent?

Yes. N.J.S.A. 42:2C-14(a) requires every limited liability company to designate and continuously maintain in this State both an office (which need not be a place of its activity) and an agent for service of process. Foreign LLCs with a certificate of authority have the same duty under §14(b). The agent must be a New Jersey resident individual or another person with authority to transact business in this State (§14(c)).

Can the New Jersey registered office be a P.O. Box alone?

The Revised Uniform Limited Liability Company Act asks for street and mailing addresses on the certificate of formation (§18(b)(2)) and on a statement of change (§15(a)). A P.O. Box alone does not supply the required street-address field. Service under §17 also looks for the agent at the agent’s street address.

How much is a New Jersey change of registered agent?

The Division of Revenue and Enterprise Services (DORES) LLC fee schedule lists Change of Registered Office or Agent or Both at $25 (retrieved 10 September 2026). The Annual Reports FAQ says the same $25 applies when you change the agent inside an annual report or reinstatement; a standalone change adds a portal service fee ($3 credit card or $1 eCheck) on top of the $25 statutory charge.

What is the New Jersey LLC annual report fee and due date?

DORES lists the LLC annual report at $75. Business.NJ.gov (Taxes and Annual Report) says every business must file, that the fee is $75, and that the report is due every year on the last day of the month in which you completed formation — even if you never get a state notice. N.J.S.A. 42:2C-26 requires the report and, after two consecutive missed years, moves a domestic LLC certificate to an inactive list.
