Colorado checks the registered agent’s Colorado ID — and charges $10 to change.

Yes. C.R.S. §7-90-701(1) requires every domestic entity with a constituent filed document on file and every foreign entity authorized to transact business or conduct activities in this state to continuously maintain in this state a registered agent. The agent may be an individual 18 or older whose primary residence or usual place of business is in Colorado, a domestic entity with a usual place of business in this state, or an authorized foreign entity with a usual place of business in this state. Consent must be stated in the appointing filing (§7-90-701(3)).

House Bill 24-1137 (Fraudulent Filings Working Group recommendations) and the Colorado Secretary of State’s Registered Agent Requirements page require, effective July 1, 2025: (1) an individual registered agent to hold a current, valid Colorado driver’s license or identification card, or to complete the department’s alternative address-verification / agent-passcode process; and (2) an entity registered agent to be registered with the SOS and in good standing, with a usual place of business in Colorado. The SOS FAQ mirrors those rules and cites §§7-90-102(55), (56), (56.5) and §7-90-701.

No for the physical street address. The SOS Registered Agent Requirements page defines a usual place of business as a physical street address in Colorado that is customarily open during normal business hours where the agent can accept documents in person. Commercial or P.O. Box addresses cannot be used as that physical street address. HB24-1137’s bill summary likewise prohibits a United States or commercial post-office box as the registered agent’s address. A different Colorado mailing address may be a commercial or P.O. Box, entered in the mailing-address field — not as the street address (SOS Registered Agent FAQ Q6–Q7).

The Colorado SOS Business Organizations Fee Schedule lists Statement of Change Changing the Registered Agent Information at $10.00 online (retrieved 16 September 2026). C.R.S. §7-90-702 also lets an entity change its registered agent, address, or name through a periodic report under §7-90-501 or certain prescribed forms. Resignation / other termination of registered agent is a separate Statement of Change line at $10.00; resignation under §7-90-702(5) is generally effective on the thirty-first day after filing (or a stated delayed date in the allowed window).

Colorado calls it a Periodic Report. Reporting entities — including limited liability companies — must file one each year (SOS Periodic Reports FAQ; C.R.S. §7-90-501). The fee schedule lists Periodic Report at $25.00 online and Periodic Report Late Filing Penalty at $50.00. The report month appears on the entity’s Summary page; the SOS FAQ says the report may be filed two months before or two months after that month without penalty. Missing the window can lead to Delinquent status.
