Massachusetts · Secretary of the Commonwealth, Corporations Division

Massachusetts charges nothing to change your resident agent online, and $500 a year to keep your LLC on file.

Massachusetts calls its registered agent a resident agent. Swapping one costs $0 online ($25 on paper), which makes it the cheapest fix in the state. The expensive part is the $500 annual report due on your formation anniversary, the biggest recurring state bill on this desk. Two rules tie them together. You cannot change the agent on the annual report, so it takes a separate filing. And if two reports go missing, the dissolution notice goes to the records office on file, with 90 days to fix it. Getting back in costs $100 plus every report you skipped.

Agent and office requiredc. 156C §5: every LLC maintains in Massachusetts (1) an office where its required records are kept and (2) a resident agent for service of process. 950 CMR 112.13(1): continuously, for domestic and registered foreign LLCs.
Who may serve§5: an individual resident of the commonwealth, a domestic corporation, or a foreign corporation authorized to do business there. 950 CMR 112.13(3) also lists domestic nonprofits and certain qualified other business entities. Neither list names the LLC itself.
Address950 CMR 112.13(2): the resident agent’s office must be a street address. A post office address is not sufficient.
Changing agent or office§5A(a) and 112.13(4): a certificate of change naming the current and new agent and street address, with the new agent’s written consent. An agent who moves can file one statement for every LLC it serves (§5A(b)).
Annual report§12(c)–(d) and 112.14: due on or before the anniversary of the certificate of organization; $500. It may amend other certificate details, but not the agent or office: those go through the 112.13 change filing.
Resignation§5A(c): the agent files a certificate of resignation and gives the LLC a copy; the appointment ends on the 31st day after filing.
Missed reports§70 and 112.20: two consecutive missed years, or inactivity, start a dissolution proceeding. Notice goes by mail to the §5(1) office; 90 days to cure; then administrative dissolution (wind-up only). Not appointing an agent within 60 days of a Division notice can count as inactivity.
Foreign LLCs§48 and §51: register within ten days of starting business and appoint a resident agent. §54: unregistered, fined up to $500 per year and barred from suing in Massachusetts courts; agent not found, the Secretary is deemed the agent for service.

Doing it yourself vs paying an agent

A Massachusetts resident can serve for $0. The trade is the one on our be your own agent and home address notes: the agent’s name and street address go on the public record (see is the agent address public?), and process servers come to you. If you move out of state, you stop fitting §5 and need the change filing. Whoever the agent is, the $500 annual report is owed on top, which puts three years of state upkeep at $1,500 before any vendor bill.

Northwest$375$125/year flat. Northwest says it files the change of agent for new clients and pays the state filing fee when appointed. Online in Massachusetts that fee is $0.
Bizee standalone RA$447$149/year.
ZenBusiness standalone RA$497$99 year one, then $199/year.
Northwest $125/year from its registered-agent page (re-read 12 October 2026 CT). We did not check a Massachusetts office location for any vendor, so we do not state one. Bizee and ZenBusiness standalone RA from lib/prices (briefing retrieved 30 August 2026, see 3-year cost). Vendor prices do not change at the Massachusetts line. Add $1,500 of annual reports over the same three years no matter who the agent is.

Switching resident agents in Massachusetts

  1. Pick a successor that fits §5: a Massachusetts resident, or a corporation qualified in the state (the regulation’s list is a bit wider). Street address only, and get the new agent’s written consent, which the filing requires.
  2. File the LLC Statement of Change of Resident Agent/Resident Office online ($0) or on paper ($25). Not a certificate of amendment ($100), and not on the annual report, which cannot carry the change.
  3. While you are there, check the records-office address. That is where a dissolution notice goes. Then cancel the old vendor. If the old agent resigns first, you have until the 31st day after its filing. Vendor walk-throughs: leave LegalZoom · leave ZenBusiness · leave Bizee.

If you already lapsed, start with no registered agent? and the reinstatement line above.

What this page does not do

It does not cover Massachusetts corporations (registered agent under chapter 156D, $125 annual report), professional LLCs, or Department of Revenue tax filings, does not walk through the Corporations Division online filing screens, and does not pick an agent for you. Questions

Is a Massachusetts resident agent the same as a registered agent?

Yes. M.G.L. c. 156C, the Massachusetts LLC Act, calls it a resident agent for service of process, and the Corporations Division forms use the same term. The Division's own LLC regulation, 950 CMR 112.13, uses resident agent and registered agent interchangeably. Formation vendors sell the same product in Massachusetts under the registered agent label.

Does a Massachusetts LLC need a resident agent?

Yes. Section 5 of chapter 156C says each LLC shall have and maintain in the commonwealth an office where its required records are kept and a resident agent for service of process. 950 CMR 112.13(1) says domestic LLCs and foreign LLCs registered in Massachusetts must continuously maintain a resident agent and office there. The certificate of organization names the first agent, with the agent's written consent, and every annual report repeats the agent line.

Who can be a resident agent in Massachusetts?

The statute (c. 156C §5) lists an individual resident of the commonwealth, a domestic corporation, or a foreign corporation authorized to do business in Massachusetts. The Division's regulation, 950 CMR 112.13(3), reads a little wider and also lists domestic nonprofit corporations and certain other business entities authorized by law and qualified in Massachusetts. Neither list names the LLC itself, so we would not plan on an LLC serving as its own agent. Commercial agents and Massachusetts residents both fit.

Can a Massachusetts resident agent use a PO box or virtual mailbox?

Not a PO box. 950 CMR 112.13(2) says the office address of the resident agent must be a street address and that a post office address is not sufficient. A mail-scanning service at a street address is still not your agent unless it is actually appointed, consents in writing, and fits the statute's list. Separately, the records office under §5(1) is also filed as a street address, and that office is where the Division sends a dissolution notice.

How much does it cost to change a resident agent in Massachusetts?

$0 if you file online, or $25 by paper or fax, per the Corporations Division fee schedule. The filing is the LLC Statement of Change of Resident Agent/Resident Office under c. 156C §5A, and it must include the new agent's written consent. You cannot do it on the annual report: 950 CMR 112.14 says any change to the registered agent or office must be made through the 112.13 change filing, and 112.15 says the same for a certificate of amendment. Northwest says it files the change for new clients and pays the state filing fee when it is appointed.

When is the Massachusetts LLC annual report due, and what does it cost?

On or before the anniversary date of the original certificate of organization (or, for a foreign LLC, of its Massachusetts registration), every year. The fee is $500 under c. 156C §12(d) and 950 CMR 112.14, the largest recurring state bill on this desk. The Division's LLC fee list does not show a separate late fee for LLCs, unlike Massachusetts corporations. The cost of missing reports shows up at reinstatement, because every owed report must be filed then.

What happens if a Massachusetts LLC stops filing annual reports?

After two consecutive years of missed reports, c. 156C §70 lets the Secretary start an administrative dissolution. The written notice goes to the office required by §5(1), the records office on file, and the LLC has 90 days to fix it. If it doesn't, the LLC is administratively dissolved and may only wind up its affairs. Reinstatement is available at any time for $100, but the Division says all annual reports owed must be filed, so two missed years cost about $1,100 in state fees. 950 CMR 112.20(2) adds that failing to appoint a resident agent within 60 days of a Division notice can count as inactivity, which is its own dissolution ground.

What happens if a Massachusetts resident agent resigns?

The agent files a statement of resignation ($25 on paper, no fee online) and sends a copy to the LLC. Under c. 156C §5A(c) the appointment ends on the 31st day after the statement is filed. That is your window to file the change of resident agent. For a registered foreign LLC whose agent cannot be found or refuses to act, §54 treats the Secretary of the Commonwealth as the agent for service of process, so a lawsuit can proceed without you seeing it at your own address.
