Do I need a registered agent in every state? No. Only where your LLC is registered.

An LLC needs a registered agent in the state it was formed in, plus one in each state where it files a foreign registration to do business there. That’s it. The requirement follows the registration, not your customers’ addresses. This note covers what tends to trigger a foreign registration, why each one needs its own in-state agent, the official filing and fee in the sixteen states Filing Address tracks, and the 3-year bill when you need agents in two or three states.

Where the requirement comes from (retrieved 6 October 2026 CT)

The statutes attach the agent duty to the registration, in plain words:

So the question to answer first is not “where are my customers?” It is “which states is my LLC registered in, and which states should it be registered in?”

What usually triggers a foreign registration

Every state defines “transacting business” (or “doing business”) for itself, and mostly by exclusion. The lists in Texas §9.251, California §17708.03, and Washington RCW 23.95.520 overlap a lot. None of these, by itself, counts as doing business there:

California states the positive test: a foreign LLC that “enters into repeated and successive transactions of business in this state, other than in interstate or foreign commerce,” is transacting intrastate business. In practice, running an office, shop, or other location in the state, or regularly doing your work there for local clients, is the kind of activity the safe-harbor lists don’t cover. Staff is state by state: Washington’s list says employing a remote worker who lives in Washington does not count by itself; the Texas and California lists don’t mention remote workers.

Skipping registration when you need it has a price. Texas’s fee schedule charges a late fee equal to the $750 registration fee for each year an entity transacted business in Texas for more than 90 days without registering.

Each registration needs its own in-state agent

Your Wyoming agent has a Wyoming street address. That address does nothing for your Texas registration, which needs a Texas agent at a Texas street address, and the same mailbox rules apply as at home (no PO box or virtual mailbox). Commercial agents price it that way: Northwest publishes $125/year, dropping to $100/year per state at five or more states. ZenBusiness’s FAQ says you need an agent with a physical address in each state where the business is registered or qualified.

Can your LLC be its own agent in the new state?

Generally no, unless the new state lets an entity serve and your LLC has a qualifying office there. Texas §5.201(b) allows an organization “other than the filing entity or foreign filing entity to be represented.” California §17701.13(c) allows an individual resident of California or a corporation that has complied with §1505. Your out-of-state LLC isn’t either one.

A person often works, though. The most common multi-state setup is an LLC formed in one state (Wyoming, Delaware) while the owner lives and works in another. The owner, as a resident individual, can usually be the agent in the home state, with the tradeoffs on the be your own registered agent note: your street address on the public record and being reachable there. The formation state still needs a commercial agent unless you live there too.

We found no published multi-state discount on the Bizee or ZenBusiness agent pages, so their columns assume list price per state. State filing fees, annual reports, and taxes excluded.

The agent fee is rarely the biggest number. Three examples, using the fees above:

  1. Wyoming LLC run from a home office in Texas. Wyoming formation $100 plus Texas Form 304 $750. Two agents: $750 over three years with Northwest in both states, or $375 if you serve as your own Texas agent. Plus Wyoming’s annual report license tax, at least $60 a year. Forming in Texas instead: $300 and one agent. If the business really lives in Texas, the Wyoming LLC mostly adds a second set of bills.
  2. Delaware LLC that operates in California. California LLC-5 $70. Agents in both states: $750 over three years with Northwest. Delaware’s $400 annual tax is $1,200 over three years, and the LLC-5 itself warns that registered LLCs may owe California’s $800 minimum Franchise Tax Board tax each year.
  3. Florida LLC that opens offices in Georgia and North Carolina. Georgia CD 241 $235 plus North Carolina L-09 $250, $485 one-time. Three agents over three years: Northwest $1,125, Bizee $1,341, ZenBusiness $1,491. Each state’s annual report is separate.

Questions

Do I need a registered agent in every state?

No. You need one in the state where the LLC was formed and one in each state where the LLC registers as a foreign LLC to do business. The duty follows the registration. Texas Bus. Orgs. Code §5.201(a) puts it on “each filing entity and each foreign filing entity”; California Corp. Code §17701.13(b) on a foreign LLC “that has a certificate of registration”; Florida §605.0113(1) on a foreign LLC “that has a certificate of authority.” A state where you only have customers is not on that list.

Do I need a registered agent in a state where I only have customers?

Usually not, if selling to customers there is all you do. Texas §9.251, California §17708.03, and Washington RCW 23.95.520 all list transacting business in interstate commerce as something that does not by itself count as doing business in the state, and California and Washington also exclude soliciting orders that are accepted outside the state. Sales tax and income tax nexus are separate tests with their own rules; California §17708.03(e) says so directly.

What makes an LLC have to register in another state?

Each state decides what “transacting business” means, mostly by listing what does not count (bank accounts, internal meetings, independent contractors, interstate commerce, a single isolated deal). California’s affirmative test is “repeated and successive transactions of business in this state, other than in interstate or foreign commerce.” Running an office or shop in a state, or regularly doing the work there, is the kind of activity those safe-harbor lists do not cover. New York’s Department of State says it does not give opinions on what counts, and Pennsylvania’s form says it is up to the company to determine. For an edge case, ask a lawyer or CPA in that state. This page is not legal advice.

Can my registered agent in one state cover my LLC in another state?

Only if that company is also an agent in the second state. Each registration needs an agent with a street address in that state. Commercial agents sell this per state: Northwest publishes $125/year, or $100/year per state at five or more states, and ZenBusiness’s FAQ says you need a registered agent with a physical address in each state where the business is registered or qualified.

Can my LLC be its own registered agent in the new state?

Generally no. Texas §5.201(b) allows an organization “other than the filing entity or foreign filing entity to be represented,” and California §17701.13(c) allows an individual resident of California or a §1505 corporation. What often works is a person: if you, the member, live in the state you are registering in, you can usually serve as the agent there, with your street address on the public filing.

Does New York require a registered agent for a foreign LLC?

Not a commercial one. LLC Law §802 has the application designate the Secretary of State as agent for service of process; a registered agent is optional. New York does add a step other states on our list do not: within 120 days after filing the $250 Application for Authority, the LLC must publish a notice once a week for six weeks in two newspapers designated by the county clerk, then file a Certificate of Publication ($50 to the state, plus whatever the newspapers charge).

How much does a registered agent cost in two or three states?

Multiply the per-state price. Over three years: Northwest $750 for two states and $1,125 for three; Bizee standalone $894 and $1,341; ZenBusiness standalone $994 and $1,491. Each foreign registration also has a one-time state filing fee (Texas $750, Georgia $235, California $70) and usually its own annual report.

What if I stop doing business in that state?

Withdraw the foreign registration instead of letting it lapse; the agent and annual report bills continue while the registration is active. Withdrawal fees on pages we checked: Washington $0, North Carolina $10, Arizona $10, Colorado $10, Florida $25. Cancel the vendor agent only after the state shows the withdrawal.
