Changing a Virginia agent is free. Losing track of one costs you the LLC.

Virginia charges $0 to change a registered agent: the SCC lists Statement of Change LLC1016 as No Fee. The reason the agent line matters anyway is the mail. The SCC sends the $50 annual registration fee assessment to the registered agent at the registered office, two months before it is due. If that agent is a stale formation-company address, the bill goes there, the $25 penalty follows, and three months after the due date the LLC is canceled. Virginia also limits who can serve more tightly than most states: a Virginia-resident member or manager, a Virginia State Bar member, or a business entity that is not the LLC itself.

Doing it yourself vs paying an agent

A Virginia-resident member or manager can serve for $0. The trade is the one on our be your own agent and home address notes: the registered office is public record (see is the agent address public?), you need to be there during normal business hours, and the SCC’s annual fee assessment comes to you. Unlike many states, a non-member friend or relative cannot fill in unless they are a Virginia State Bar member or a designated employee.

Switching agents in Virginia

  1. Pick a successor that qualifies under §13.1-1015: a Virginia-resident member or manager, a Virginia State Bar member, or an authorized entity agent.
  2. File LLC1016 Statement of Change, $0, in CIS (real time) or on the paper form. The SCC sends an Acknowledgement of Change once it is recorded.

What this page does not do

It does not cover Virginia corporations (which file annual reports and pay share-based fees), does not walk through CIS screens, and does not pick an agent for you. Questions

Does a Virginia LLC need a registered agent?

Yes. Va. Code §13.1-1015(A) says each domestic LLC and each foreign LLC registered in Virginia shall continuously maintain in the Commonwealth a registered office and a registered agent. The State Corporation Commission (SCC), not a secretary of state, keeps the record. The SCC FAQ says every authorized Virginia business must maintain a registered agent.

Who can be a registered agent in Virginia?

Fewer people than in most states. Under §13.1-1015(A)(2), an individual agent must be a Virginia resident and either a member or manager of the LLC (or sit in the management chain of an entity that is a member or manager) or a member of the Virginia State Bar, with a business office identical to the registered office. An entity agent must be a corporation, LLC, or registered LLP authorized to do business in Virginia; it cannot be its own registered agent, and it must name, by notarized instrument, natural persons at its office who accept service. A third path is a Virginia-resident employee the LLC designates in writing as an officer for service, available during regular business hours at the registered office. A friend or relative who is not in management and not a lawyer does not fit any of those boxes.

Can I be my own registered agent in Virginia?

Yes, if you are a Virginia resident who is a member or manager of the LLC and you give a Virginia registered office address. The SCC FAQ says so directly. Your office address goes on the public record, you need to be available there during normal business hours, and the SCC sends its communications, including the annual registration fee assessment, to that address. The LLC itself cannot be its own agent.

Can a Virginia registered office be a PO box or virtual mailbox?

Not as a rule. The SCC FAQ says the agent must be physically present to receive documents, so a Post Office box is not acceptable. The only exception is a city or town with a population under 2,000 where no street address is associated with the location, and that route is paper filing only. A virtual mailbox can take ordinary mail, but it does not make the box holder a qualified agent under §13.1-1015.

How much does it cost to change a registered agent in Virginia?

$0. The SCC lists Form LLC1016, Statement of Change of Registered Agent and/or Registered Office, as No Fee for both Virginia and foreign LLCs. File it in real time in the Clerk's Information System (CIS) or request the paper form. §13.1-1065(A) also lets the SCC file a statement of change even when annual registration fees or penalties are unpaid, so being behind on the bill does not block fixing the agent. Northwest says it files the change for new clients and pays any state fee; in Virginia there is none to pay.

Does a Virginia LLC file an annual report?

No annual report, but it does pay an annual registration fee: $50 under §13.1-1062, due by the last day of the month the LLC was organized or registered, each year after the year of formation. The SCC mails the assessment to the registered agent at the registered office two months before the due date, and the agent's job is to forward it. Unpaid by the due date adds a $25 penalty (§13.1-1064). Still unpaid on the last day of the third month after the due date, the LLC is automatically canceled (§13.1-1050.2(A)). Corporations file an annual report; LLCs do not.

What happens if a Virginia registered agent resigns?

The agent files LLC1017 (No Fee) and mails a copy by certified mail to the principal office. Under §13.1-1017(B) the resignation takes effect at the earlier of the 31st day after filing or the day a statement of change appointing a new agent is filed, and the registered office is discontinued with it. If no statement of change is filed within 31 days, the SCC mails a notice of impending cancellation and the status shows pending inactive. If the LLC still has not filed by the last day of the second month after that notice, it is automatically canceled (§13.1-1050.2(B)). Reinstatement runs $100 plus unpaid fees (LLC1050.4P) within five years, per the SCC.
